1. Acceptance of Terms
By accessing or using the TrustPipe platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and Vidara LLC ("Company", "we", "us", or "our") regarding your use of the Service.
2. Description of Service
TrustPipe is a data enrichment platform that provides APIs and tools for enriching business contact and company information. Our Service aggregates data from multiple third-party providers to deliver comprehensive enrichment capabilities.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
3. Account Registration and Security
3.1 Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.
3.2 Account Information
When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 Security
You agree to notify us immediately of any unauthorized access to or use of your account. We are not responsible for any loss or damage arising from your failure to secure your account credentials.
4. Subscription and Payments
4.1 Pricing
The Service is available on a subscription basis. Current pricing is available on our Pricing page. All fees are exclusive of taxes, which you are responsible for paying.
4.2 Billing
You agree to pay all fees associated with your subscription. Fees are charged in advance on a monthly or annual basis, depending on your selected plan. We use third-party payment processors and do not store your full credit card information.
4.3 Credits
Credits are the currency used to access enrichment services. Credits are deducted based on the type of enrichment performed. Unused credits may expire according to your plan terms.
4.4 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial months.
5. Acceptable Use
5.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in compliance with all applicable laws and regulations.
5.2 Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Violate the privacy rights of individuals or data protection laws
- Use the Service to send spam, unsolicited communications, or harass others
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or attempt to extract source code
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service to store or transmit malicious code or harmful content
- Exceed rate limits or abuse API endpoints
- Use enriched data for unlawful discrimination or predatory practices
5.3 Data Usage Restrictions
Data obtained through the Service is for your internal business purposes only. You may not sell, license, or otherwise commercialize enriched data as a standalone product. You are responsible for ensuring your use of enriched data complies with applicable laws.
6. Intellectual Property
6.1 Our Rights
The Service and its original content, features, and functionality are owned by Vidara LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
6.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without restriction or compensation to you.
7. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.
You represent and warrant that you have obtained all necessary rights and consents to submit any data you provide to the Service for enrichment.
8. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any data obtained through the Service will be accurate or reliable.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, VIDARA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Vidara LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
